Scotia Group Jamaica Limited (“SGJL”) wishes to advise that, by Formal Order dated July 15, 2026, the Supreme Court of Jamaica, granted SGJL liberty, pursuant to section 206 of the Companies Act, 2004, to convene separate meetings of holders of ordinary stock units in the capital of SGJL for the purpose of considering and, if thought fit, approving, with or without modification, the proposed Scheme of Arrangement involving SGJL, Scotiabank Caribbean Holdings Ltd. (“SCHL”) and the other holders of ordinary stock units in SGJL.
SGJL will issue formal meeting notices and provide further updates in accordance with its applicable disclosure obligations.
