PROVEN Group Ltd. (“the Company” or “PROVEN”) hereby informs the Jamaica Stock Exchange that Mr. Rhory McNamara has resigned as a Director and Chairman of the Board effective
April 24, 2026.
Mr. McNamara closes over 16 years of distinguished service to PROVEN, having joined the Board in January 2010 and later assuming the role of Chairman in March 2023. “On behalf of the entire PROVEN family, we extend our sincere thanks to Rhory for his years of exemplary service and leadership,” stated Peter Bunting, Co-Founder of PROVEN. “His guidance was instrumental in advancing PROVEN’s strategic priorities. We are grateful for his contributions and wish him every success in his future endeavours.”
The Board of Directors would like to extend its sincere gratitude to Mr. McNamara for his unwavering commitment and contribution to the Group’s values and long-term vision.
The Board of Directors has unanimously approved the appointment of Mr. Mark Myers, CD, as Chairman of the Board, effective April 28, 2026.
Mr. Myers is an accomplished business leader and currently serves as Managing Director of Restaurants of Jamaica Limited, operators of the KFC and Pizza Hut franchises in Jamaica, with additional interests in adjacent regional businesses including the KFC franchise in the Bahamas.
A firm believer in national development and responsible corporate stewardship, Mr. Myers brings extensive governance experience, having served on several prominent public and private sector boards. These include his current roles as Chairman of Jamaica Trade and Invest (JAMPRO) and Chairman of Barita Investments Limited, prior service on the boards of the Bank of Jamaica, Jamaica Observer Limited, NCB Capital Markets Limited, and Supreme Ventures Limited. He also previously served as Chairman of MF&G Trust and Finance.
He has developed a strong reputation for governance excellence and shareholder value creation. In recognition of his contribution to Jamaica’s business sector, Mr. Myers was awarded the Order of Distinction, Commander Class (CD) by the Government of Jamaica in 2023.
Mr. Myers and his family are among the founding shareholders of PROVEN Group Limited, and Barita Investments Limited is currently the second largest shareholder of PROVEN.
